Basson & Blackburn, a well-established law firm, has the above vacancy for a dynamic and confident Commercial/Corporate Attorney with excellent interpersonal skills and legislation knowledge to join their team based at their office in Paarl. The incumbent will be responsible for: *protecting clients from legal risks and regulatory violations in all business transactions and develop strategies for risk- litigation *assessing legal rights and legal risk of various company structures, and make recommendations for corporation, joint venture, limited partnership, and limited liability company options *performing complex legal research and extensive due diligence *evaluating current and new projects, partnerships, mergers, divestitures, and acquisitions for potential legal issues *providing legal advice to clients on corporate governance, policies, procedures, finances, intellectual property, employment, operations, and regulatory issues, and guide them towards best practices in corporate law regulation compliance *drafting, reviewing and modifying contracts, government and financial reports, process and procedure policies, and other legal documents as required *negotiating on the clients’ behalf to create, modify, and execute deals *providing legal counsel during legal proceedings, administrative board reviews, and litigations when necessary *drafting & reviewing of Shareholders Agreements, MOI’s, various company restructuring agreements including sale of shares and subscription agreements and credit agreements *all other tasks related to this position. Essential qualifications, skills and experience • BCom LLB qualification required, a tax qualification will be advantageous; • 5-8 year's experience in a similar role, including experience with mergers and acquisitions; • Good knowledge and understanding of the Companies Act, Closed Corporations Act, National Credit Act as well as tax and other legislation relevant to various corporate transactions.
